Welcome to the Social Purpose Exchange. The Exchange is a private, vetted network hosted by the VeriStell Institute. To maintain a high-trust, collaborative environment for our members, we operate under a clear set of community guidelines and privacy practices.
By registering, you agree that you retain full ownership of the intellectual property you share, while granting us the basic technical rights needed to host and run the platform. We are committed to protecting your data and respecting the confidentiality of community discussions.

Terms of Use and Privacy Policy
1. Acceptance of Terms
By requesting membership and accessing the Social Purpose Exchange (the “Site”), a platform operated by the VeriStell Institute (“VeriStell,” “we,” or “us”), you agree to be bound by these Terms of Use. These terms govern your participation in our private community groups and your use of all media, text, and data shared within.
2. Membership & Access

Approval: Access is granted solely at the discretion of VeriStell administrators. We reserve the right to decline or revoke membership at any time, for any reason.

Confidentiality: The Exchange is a private forum. Members agree to treat discussions, documents, and media shared within the groups as confidential and shall not distribute or publish internal content to the general public without the express written consent of the original content creator and VeriStell.
3. User-Generated Content (UGC) & "Split-Right" Licensing
We follow global industry standards regarding content ownership and licensing to protect our members' professional contributions:

You Retain Ownership: You retain ownership of all intellectual property rights for the text, video, audio, and documents ("User Content") you post.

Limited Usage License: By posting, you grant VeriStell a non-exclusive, royalty-free, worldwide, and sub-licensable license to host, store, reproduce, and display your content. This license is granted solely for the technical and operational purposes of:

Displaying your content to other members within the community.

Modifying content for technical reasons (e.g., resizing photos or compressing video for mobile viewing).

Enabling community features, such as "Share" or "Reply" functions, which allow other members to interact with your content within the Site.

No Commercial Sale: VeriStell will not sell your User Content to third parties or use your specific contributions for external advertising without your explicit, separate written consent.

Termination of License: This license generally ends when you delete your content or close your account. However, content that has been previously shared, "re-posted," or interacted with by other members may persist within the community to maintain the integrity of historical discussions.
4. Member Warranties
You represent and warrant that you own or have the necessary licenses and permissions for any content you post. You agree not to post material that infringes on third-party copyrights, trademarks, trade secrets, or non-disclosure agreements.
5. Acceptable Use & Conduct
To maintain a professional environment, members strictly agree not to:

Post defamatory, obscene, or harassing material.

Upload viruses or malicious code.

Use the forum for unsolicited commercial "spam" or unauthorized advertising.

Share proprietary corporate data that they do not have the legal right to disclose.
6. Media Release & Likeness
For consideration of your membership, you grant VeriStell permission to use photographs or video recordings of your participation in Exchange events (virtual or in-person) for internal or external promotional purposes. This includes the use of your name, likeness, and voice in any media. You waive the right to inspect or approve the finished product.

No Professional Advice: Content shared on the Exchange is for informational and "thought-incubator" purposes only and does not constitute professional, legal, or financial advice.

PIPEDA Compliance: VeriStell is committed to protecting your personal information in accordance with the Personal Information Protection and Electronic Documents Act (PIPEDA).

Data Processing: Because this site is hosted on Wix, your data may be processed on servers located outside of Canada (e.g., USA or Israel), subject to the laws of those jurisdictions.
7. Media Release & Likeness

In connection with my participation in this event I understand that I may be filmed or photographed and hereby consent to the VeriStell Institute and affliates recording (audio or visual) the webinar/event. For consideration, mutually agreed upon, the receipt of which is hereby acknowledged, I, the undersigned, hereby grant the VeriStell Institute and all of its related subsidiaries, divisions, affiliates, successors, managers, partners, principals, members, officers, employees, owners, agents, representatives and assigns (collectively “VeriStell”), permission to use, for internal or external promotional purposes, photographs or videotapes of me and, in association therewith, to use my name, picture, portrait, likeness, voice, and/or other indicia of persona in and for any and all publicity, advertising and promotional materials and any other legitimate uses that VeriStell may, in its sole discretion, deem proper.

I hereby waive any right to review or approve any such use. Further, I hereby convey to VeriStell and affiliates, and relinquish for myself, my heirs, successors, assigns, executors, administrators, and any others who may take by or through me, all the right, title, licenses, copyrights and interest I may have in the reproductions and copies of the photographs and videotapes. Further, I hereby grant VeriStell the right to give, sell, transfer and exhibit the videotapes, negatives, original prints or copies and facsimiles thereof, to any individual, business, firm or publication, or to any of its assignees, as VeriStell, in its sole discretion, determines appropriate.
